Terms & Conditions to use this Marketplace

1.The brand[aseller] provides an online platform to support trade between members.

2.The Member agrees to offer products/services on the Website at prevailing prices with the same warrantee/guarantees as for regular customers.

3.The Member agrees and allows ‘aseller’  to list their products/services on the platform.

4.All Rights are Reserved by Aseller[mojidra advertising services llp].

5.Member will get barter limit/coins against selected Package as Membership Registration Fees.

6.Mutual Agreement:-
In consideration of the above terms, aseller and the Member agree to collaborate as per the terms mentioned in this Agreement.

Key Terms:-

1. Platform & Member Responsibilities

•Members can list and trade goods/services at standard prices with the same guarantees as their actual customers.

•aseller reserves the right to modify, delist or remove content at its discretion.

•Members cannot post illegal, counterfeit or infringing materials.

•Members authorize the Firm to use their brand, logo and products for promotional purposes.

•The Member has to sell fair/new product or service to buyer member.

•Barter limit/coins/money are only an internal settlement unit for transactions within the platform. They have no cash value outside the platform, cannot be transferred to a bank account and are subject to the platform’s terms and conditions.

2. Financial Terms

•Set-up Fee: Non-refundable fee to join the platform.

•Transaction Fee: 10% convenience fee (inclusive of GST.) on each Purchase trade.

•Shipping & Taxes: Buyers will bear shipping costs and applicable taxes.

•Barter coins/Trade Limit: Members are assigned trade limits based on their subscription plan or amount and business category.

3. Agreement Duration & Termination

•Duration: 60 months (5 years).

•Renewal : If renewal will bot be done by the members, the account will freeze and member will not able to trade.

•The balance balanced barter limit/coins will be carry forwarded after membership renewal.

•Termination:–

•By aseller for cause (breach, fraud, failure to supply etc.).

•By either party with 1-month notice.

•Modifications to the agreement require 30 days’ prior notice.

4. Liability & Indemnification

•Aseller acts only as a broker and is not liable for product quality, delivery, or disputes.

•Members must indemnify aseller against any claims, losses, or legal liabilities.

•Aseller’s maximum liability is limited to the fees paid by the Member.

5. Non-Compete Clause

•Members cannot engage with competitors of the Firm during the agreement term without written permission.

6. Dispute Resolution

•Any disputes will be resolved via arbitration in Ahmedabad as per the Arbitration & Conciliation Act, 1996.

7. Other General Terms

•The agreement does not create a partnership or employment relationship.

•It remains binding on successors and assigns.

•Force majeure events (e.g., war, natural disasters etc.) do not excuse financial obligations.
